By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

While we strive to ensure the accuracy and reliability of our Services, we do not guarantee that the Services will always be available, error-free, or that they will achieve specific results for your business.

3.3 Modifications to Services
We may add, remove, or modify features and functionalities of the Services at any time without prior notice. We will not be liable to you or any third party for any modifications, price changes, or service suspensions or discontinuations.


4. User Accounts

Both parties may disclose confidential information in connection with the Services. Each party agrees to:

9. Disclaimers

9.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPSWISE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY INFORMATION PROVIDED IS ACCURATE, RELIABLE, OR COMPLETE.

9.2 Indalo Platform
While Indalo is designed to provide innovative solutions, OpsWise does not guarantee that the platform’s recommendations, insights, or tools will meet your specific needs or lead to particular results. All use is at your own risk.


10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPSWISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOST REVENUE, OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OPSWISE’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO OPSWISE FOR USE OF THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.


11. Indemnification

You agree to indemnify, defend, and hold harmless OpsWise, its affiliates, and their respective officers, directors, employees, and agents from and against any and all losses, liabilities, claims, demands, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • Your use or misuse of the Services.
  • Your violation of these Terms or any applicable law.
  • Your infringement of any intellectual property or other rights of a third party.

12. Termination

12.1 Termination by OpsWise
We may suspend or terminate your access to the Services immediately and without notice if we believe, in our sole discretion, that you have breached these Terms.

12.2 Termination by You

12.3 Effects of Termination
Upon termination of your account, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


13. Governing Law and Dispute Resolution

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign our rights and obligations under these Terms freely without restriction.

14.5 Force Majeure
OpsWise shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond OpsWise’s reasonable control, including mechanical, electronic, or communications failure or degradation.
